IP Licensing Agreement

This Agreement is limited to the Licensee’s use of the WordPress IP within the parameters defined herein, and for the term specified. The Licensee may only distribute the IP on Codecanyon. All other rights are explicitly reserved for the Licensor.

The Licensor, aiziip.com, remains the exclusive owner of all rights, title, and interest in the WordPress IP, irrespective of the use granted to the Licensee hereunder.

This Agreement is effective for a period of one (1) year from the execution date until terminated by either party in accordance with the termination provisions herein.

The Licensee agrees not to engage in actions such as cloning or reverse engineering of IPs belonging to the Licensor. Such activities will be deemed a violation of this Agreement.

The Licensee agrees to pay the Licensor a predetermined license fee. Failure to pay such fees may result in suspension or termination of this Agreement.

Either party may terminate this Agreement by giving written notice. Upon termination, the Licensee must cease all activities relating to the use of the Licensed IP and delete all copies of the IP in its possession.

This Agreement is governed by the laws of MD, USA. Any disputes arising from this Agreement shall first be resolved through amicable negotiation. Failing that, the dispute shall be resolved through arbitration or litigation based on provisions in this Agreement.

The Licensor will not be liable for any indirect, special, or consequential damages resulting from the Licensee’s use of the Licensed IP. The Licensor’s total liability will not exceed the amount of the license fee paid.

This Agreement can only be modified by a written amendment signed by both parties.

This Agreement represents the entire understanding between the parties and supersedes any previous communications, representations, or agreements.
